ARTICLE IV: OFFICERS SECTION 1. Only Regular or Life Members of The Association, occupying positions with responsibilities in the field of Technology Education shall be eligible to hold office or to Chair Standing Committees. It is further required that ones name to be placed on a ballot for any office in The Association shall require at least THREE (3) years Regular or Life Membership and be officially certified in Technology Education Teaching in Connecticut. SECTION 2. Officers of The Association must be a member of The Association in good standing---Regular and/or Life Members currently active. SECTION 3. The Officers of The Association shall be: a. A President b. A President Elect c. A Treasurer d. A Secretary e. And such other officers as may be elected in accordance with the provisions of this Article. The Board of Directors may elect or appoint such other B.D. members, as the Executive Directors, and one or more assistant secretaries and/or treasurers, as it shall deem desirable. Such officers shall have the authority and perform the duties prescribed, from time to time, by the B.D. Any two or more offices may be held by the same person, except the offices of President and Secretary. SECTION 4. Election and Term of Office: a. The officers of The Association shall be elected Biennially at the annual Spring Conference of The Association. b. New Offices may be created and filled at any meeting of the B.D. c. NOTE: All of the above incumbent officers shall hold office until successors shall have been duly elected and shall have qualified. SECTION 5. Removal: Any officer elected or appointed by the B.D. may be removed by the B.D. whenever in its judgment the best interests of The Association would be served thereby. However, such removal shall be without prejudice to the rights, if any, of the officer so removed. SECTION 6. Vacancies: A vacancy in any office because of: a. Death b. Resignation c. Removal d. Disqualification e. Otherwise --- shall be filled by the B.D. for the un-expired portion of the term. SECTION 7. President: The President shall be the Chief Executive Officer of The Association and Shall, in general, supervise and control all the business and affairs of The Association. He/she shall preside at all meetings of the members and of the B.D. He/she may sign, with the Secretary or any other proper officer of The Association authorized by the B.D., any business which the B.D. has authorized to be executed, except in cases where the signing and executive thereof shall be expressly delegated by the B.D. or by these By-Laws or by statute to some other officer or agent of The Association. Also, in general, the President shall perform all duties incident to the Office of President and such other duties as many be prescribed by the B.D. from time to time -- among these shall be the role of Ex-Officio member of all committees, standing and Temporary. The President shall also serve as the ITEA delegate to the ITEA annual conference. SECTION 8. President Elect: In the absence of the President or in the event of his/her inability or refusal to act, the President Elect (or in the event this be impossible, the Executive Director – in the role of continuity) shall perform duties of the President and when so acting shall have all the powers of and be subject to all the restriction upon the President. Additionally, the President Elect shall perform such other duties as from time to time may be assigned to him/her by the President or by the B.D. only. The President Elect shall set up working (Standing and Temporary) committees and will make up a Yearly Program of Works for the Association. The President Elect will serve as the ITEA delegate or alternate to the ITEA annual conference. SECTION 9. Treasurer: If required by the Board of Directors (B.D.) the Treasurer shall give a bond for the faithful discharge of his/her duties in such sum and with surety or sureties as the B.D. shall determine. This financing shall be by The Association. He/she shall have charge and custody of and be responsible for all funds and securities of the Association; receive and give receipts for monies in the name of The Association in such banks, trust companies, or other depositories as shall be selected in accordance with the provisions of Article VI of these by-laws; and in general perform all the duties incident to the Office of Treasurer and such duties as from time to time may be assigned to him/her by the President or the B.D. The Treasurers Records shall be audited annually. SECTION 10. Secretary: The Secretary shall keep the minutes of the meetings and of the B.D. in one or more books provided for such purpose. Also, to see that all notices are duly given in accordance with the provisions of the By-Laws or as required by law; be custodian of The Association records, and of the seal of The Association, and see that the seal/logo of The Association is affixed to all documents, the execution of which is duly authorized in accordance with the provisions of those By-Laws; keep a register of the post office address of each member which shall be furnished to the Secretary such members; and in general perform all duties incident to such office of Secretary and such other duties as from time to time may be assigned by the President or by the B.D. SECTION 11. Assistant Treasurers and Secretaries: If required by the B.D., the Assistant Treasurers shall give bonds for the faithful discharge of their duties in such sums and with such sureties as the B.D. shall determine. Here too, the financing shall be by The Association as per (ART. IV. Sec. 9) of the By-Laws. The Assistant Treasurers and Secretaries in general, shall perform such duties as shall be assigned to them by the Treasurer or Secretary, or by the President or the B.D. NOTE: The Assistant Treasurer, when performing the Treasurers duties must also have his records audited annually. SECTION 12. Immediate Past-President/ITEA Representative shall be the official liaison between The Association and the ITEA. He/she shall serve as a delegate to the annual ITEA conference and will report to the B.D. after the conference on the activities and actions of the ITEA. He/she will keep The Association informed on all ITEA activities and actions. |
